1. Agreement to Terms

By accessing or using Review Insight AI (the "Service"), you agree to be bound by these Terms of Service ("Terms"). This agreement is between you and Review Insight AI ("Company," "we," "us," or "our").

2. Description of Service

Review Insight AI is a SaaS platform that collects and analyzes publicly available guest reviews from various booking platforms (including Booking.com, Google, TripAdvisor, and Hotels.com) to provide AI-powered insights for hospitality businesses.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 18 years old and capable of forming a binding contract to use this Service.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Notify us immediately of any unauthorized access to your account
• Not share your account credentials with others

4. Subscription and Payment Terms

4.1 Pricing

Subscription fees are based on the number of properties you add to your account. Current pricing is available on our website and may be updated at any time with notice to existing subscribers.

4.2 Billing

• Subscriptions are billed monthly or annually, as selected by you
• Billing occurs on the same day each billing period
• All fees are in USD unless otherwise stated
• Payment is processed through our third-party payment processor (Stripe)

4.3 Failed Payments

If a payment fails, your subscription will be suspended, and you will lose access to monthly analysis reports until payment is successful. We will attempt to notify you and re-charge your payment method.

4.4 Refunds

Refunds are provided on a case-by-case basis. Generally, we do not offer refunds for partial billing periods. Contact us to discuss refund requests.

4.5 Cancellation

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. You will not be charged for subsequent periods.

5. Acceptable Use

You agree NOT to:

• Violate any laws or regulations
• Use the Service to collect data for competitive purposes
• Attempt to reverse engineer, decompile, or disassemble the Service
• Use automated systems (bots, scrapers) to access the Service without permission
• Interfere with or disrupt the Service or servers
• Upload viruses or malicious code
• Impersonate others or misrepresent your affiliation
• Use the Service for any illegal or unauthorized purpose

6. Intellectual Property

6.1 Our Rights

The Service, including all content, features, functionality, software, and design, is owned by NextGen Marketing and Automation LLC and is protected by copyright, trademark, and other intellectual property laws.

6.2 Your Rights

You retain ownership of your property data and content you provide. By using the Service, you grant us a license to use this data solely to provide the Service to you.

6.3 Review Data

Guest reviews are publicly available data. We collect and analyze this data on your behalf. The insights generated from this analysis are provided to you as part of the Service.

7. Service Availability and Modifications

• We strive to provide continuous Service availability but cannot guarantee uninterrupted access
• We may perform scheduled or emergency maintenance that temporarily limits access
• We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time
• We may update these Terms with notice to users

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
• OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM
• WE ARE NOT LIABLE FOR DECISIONS YOU MAKE BASED ON OUR ANALYSIS OR INSIGHTS

9. Indemnification

You agree to indemnify and hold harmless Review Insight AI, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any rights of another party

10. Termination

We may terminate or suspend your access immediately, without prior notice, for any reason, including:

• Breach of these Terms
• Fraudulent or illegal activity
• Non-payment of fees
• At our discretion for business reasons

Upon termination, your right to use the Service will immediately cease. We may delete your data after a reasonable period as described in our Privacy Policy.

11. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the State of Wyoming, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, conducted in Wyoming. You waive any right to a jury trial or to participate in a class action.
